Terms of Service

Effective date: 7 July 2026

These Terms govern your use of the TEXL O365 Calendar Integration. Please read them alongside our Privacy Statement.

1. Agreement to Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you, the organization or individual accessing or using the TEXL O365 Calendar Integration (the “Service”), and TEXL Development FZ-LLC (“TEXL”, “we”, “us”, or “our”). By installing, authorizing, accessing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of the Service

The Service is a room-booking integration that connects to your Microsoft 365 (Office 365) environment and reads calendar and room-resource information from your tenant in order to display booking and availability information on room displays and related interfaces. The Service can also create, modify, and cancel room bookings — for example, booking a room, extending a meeting, or releasing a meeting that no one attends — when your users interact with it.

The Service is deployed within your own environment, typically on infrastructure that you own and operate. It accesses your Microsoft 365 data solely through Microsoft-approved application programming interfaces (such as Microsoft Graph) and only with the permissions and consent that you grant during authorization. TEXL does not host, receive, or have access to the data the Service processes.

3. Authorization and Microsoft 365 Accounts

To use the Service, an administrator of your Microsoft 365 tenant must authorize the Service and consent to the permissions it requests, or a designated service account with access to the relevant room calendars must sign in to the Service. You are responsible for ensuring that the person granting consent or signing in is authorized to do so on behalf of your organization.

Your use of Microsoft 365 remains subject to your agreements with Microsoft. The Service is an independent product of TEXL and is not endorsed, sponsored, or certified by Microsoft. “Microsoft 365”, “Office 365”, “Outlook”, and “Microsoft Graph” are trademarks of Microsoft Corporation.

You may revoke the Service’s access at any time through the Microsoft Entra admin center or the applicable Microsoft account settings. Revoking access will disable the Service.

4. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • Use the Service in violation of any applicable law, regulation, or third-party right;
  • Attempt to gain unauthorized access to the Service, other users’ data, or the systems or networks connected to the Service;
  • Reverse engineer, decompile, or disassemble any part of the Service except to the extent permitted by applicable law;
  • Interfere with, disrupt, or impose an unreasonable load on the Service or its supporting infrastructure;
  • Use the Service to store or transmit malicious code, or to infringe intellectual property or privacy rights.

5. Customer Data and Responsibilities

“Customer Data” means the calendar, room-resource, and related information the Service accesses from your Microsoft 365 tenant. As between you and TEXL, you retain all rights in and to your Customer Data. Because the Service runs within your own environment, Customer Data is processed locally by the Service on your infrastructure; TEXL does not access, receive, store, or process your Customer Data.

You are responsible for the accuracy and lawfulness of your Customer Data, for securing the environment in which the Service operates, and for ensuring you have obtained all necessary rights, consents, and notices required to process it.

6. Intellectual Property

The Service, including all software, interfaces, designs, and documentation, and all intellectual property rights therein, are and remain the exclusive property of TEXL and its licensors. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.

7. Service Availability and Changes

We may modify, suspend, or discontinue the Service, in whole or in part, at any time. We will use commercially reasonable efforts to provide reasonable notice of material changes that adversely affect your use of the Service, but we are not liable for any modification, suspension, or discontinuation.

The Service may rely on third-party services, including Microsoft 365. We are not responsible for the availability, performance, or changes of such third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TEXL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TEXL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TEXL FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF NO SUCH AMOUNTS WERE PAID.

10. Indemnification

You agree to indemnify, defend, and hold harmless TEXL and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Customer Data, or your breach of these Terms.

11. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service and revoke its access at any time. We may suspend or terminate your access to the Service if you breach these Terms or if we reasonably believe your use poses a security or legal risk.

Upon termination, the rights granted to you under these Terms will cease, and the provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the applicable regulations of the emirate of Dubai, without regard to conflict-of-law principles. The courts located in Dubai, U.A.E. will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any applicable free-zone dispute-resolution rules.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
